NOTICE OF ONGOING MERGER BY ABSORPTION PROCESS

Dear Sir/Madam,

We would like to inform you that ZK ŽERNÍČEK KOVOVÝROBA s.r.o., registered office at Na Pilníku 292, 789 91 Štíty, Company ID No.: 041 43 779, registered in the Commercial Register maintained by the Regional Court in Ostrava, File No. C 62536 (“Dissolving Company 1”), as a dissolving company, Žerníček s.r.o., registered office at Na Pilníku 292, 789 91 Štíty, Company ID No.: 080 24 031, registered in the Commercial Register maintained by the Regional Court in Ostrava, File No. C 78082 (“Dissolving Company 2”), as a dissolving company (Dissolving Company 1 and Dissolving Company 2 hereinafter jointly referred to as the “Dissolving Companies” and each individually as a “Dissolving Company”), and ADAX T9 s.r.o., registered office at Olomoucká 3419/7, Židenice, 618 00 Brno, Company ID No.: 221 10 054, registered in the Commercial Register maintained by the Regional Court in Brno, File No. C 144021 (“Successor Company”), as the successor company, intend to carry out, pursuant to the relevant provisions of Act No. 125/2008 Coll., on Transformations of Commercial Companies and Cooperatives, as amended, a merger by absorption (the “Merger by Absorption”).

In view of the above, we hereby inform you that, as a result of the implementation of the Merger by Absorption, the Dissolving Companies will cease to exist without liquidation and all of their assets and liabilities will be transferred to the Successor Company, which shall thereby become the universal legal successor of the Dissolving Companies. The registration of the Merger by Absorption in the Commercial Register, from which its effects shall arise, is planned for 1 September 2025.

As a result of the implementation of the Merger by Absorption, the Successor Company, by virtue of universal succession directly by operation of law, will enter into all existing and effective legal relationships of the Dissolving Companies. All contractual documents and agreements will thus remain valid and effective without any changes or limitations, and without the need to conclude new contracts or to carry out any other legal acts.

Furthermore, we kindly request that you ensure the relevant changes to identification details are implemented in your company’s invoicing and correspondence systems as of 1 September 2025, in particular by replacing the details of the Dissolving Company with the following information, so as to avoid any delays or potential complications in our mutual communication from 1 September 2025:
